User Account(s): Each person who accesses the HotLead Email application, and/or receives information from the application shall be defined as an End-User. For each account, the End-User warrants that the registration information provided is true, accurate, complete and current. Failure to maintain End-User account information may cause End-User’s access to the Services to be interrupted, suspended, or terminated. Use of Information: The End-User agrees to use all supplied data in an ethical, lawful manner compliant with fair marketing practices, for its internal use only. Services may be suspended if it is determined the activities of the End-User may constitute a violation of reasonable, ethical, or lawful business practices Resale: The End-User agrees it shall not sell, sub-license, make available for commercial use, or redistribute the HotLead Email data to any unapproved party without express, written consent. Intellectual Property: End-User acknowledges the supplier of HotLead Email and its licensors retain exclusive ownership of all technology, software and other intellectual property that may be used during provision of the Services, including, without limitation, the proprietary methodologies and processes for delivery of its products and/or services. End-User agrees to not: (a) sell, license, publish, display, share, distribute, or otherwise transfer the data or any copy thereof, in whole or in part, to a third party; (b) modify, translate disassemble, decompile, reverse engineer or in any other way derive any source code from the software used to produce the HotLead Email products and services (c); copy the materials, software or data except as has been authorized. Limitations and Disclaimer: The End-User hereby agrees that neither the HotLead Email supplier, its parent, nor its licensors or affiliates, nor any of their respective officers, directors, employees, owners, agents, representatives, licensors and (sub)licensees (other than yourself, as applicable), shall be liable for any damages, whether direct, incidental, indirect or consequential, arising from any HotLead Email products and services, even if such parties have been advised, or advised of the possibility, of such damages. Termination. At such time as End-User may terminate services, and/or upon conclusion of any Trial period, all tracking codes must be pulled from web pages. The End-User understands that a visible image, such as a logo, may be placed onto the End-User website for the following circumstances: a) End-User fails to remove the tracking code from their site upon conclusion of a Trial or Paid service period, b) Payment is 60 days or later in bringing an account balance to current. A best effort will be made to properly notify prior to the placement of any alternate images. Confidential Information: End-User acknowledges they and the supplier of HotLead Email, each a party, agree during the term and thereafter that it will take all steps reasonably necessary to hold the other party's proprietary and confidential information in trust and confidence. So long as a party is in compliance with the terms of this service authorization that party shall not disclose to any person, firm or entity any proprietary or confidential information of the other, nor use such information, without the express written consent of the other, with the exception that either party may disclose confidential or proprietary information of the other when required by law. In addition to the representations and warranties you have made above, your placement of the tracking code hereby represent and warrant that it, or he or she, has the right to accept and adhere to these Terms of Service.
